Read the following Terms of Use. All students must agree with these Terms of Use in order to participate in this course.

IMPORTANT - READ CAREFULLY BEFORE ACCESSING THE FOLLOWING COURSEWARE MATERIALS

THIS IS A LEGAL AGREEMENT (“AGREEMENT”) BETWEEN YOU AND APICS, INC. (“APICS”), 8430 WEST BRYN MAWR AVENUE, SUITE 1000, CHICAGO, IL 60631. THE TERMS AND CONDITIONS OF THIS AGREEMENT GOVERN YOUR USE OF THE COURSEWARE MATERIALS. ACCESS TO THE COURSEWARE MATERIALS IS EXPRESSLY CONTINGENT UPON YOUR ASSENT TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. PLEASE READ THE TERMS OF THIS AGREEMENT.

  1. This Agreement provides you with a non-transferable, revocable, and limited right of use of the courseware materials for personal, educational purposes only.
  2. This non-exclusive license does not provide you with title or ownership of the courseware materials. The courseware materials are owned and copyrighted by APICS.
  3. You consent to the release to APICS of your name, address, user identification number, or other similar information for purposes of tracking your usage and access to the courseware materials.
  4. In the event that any term of this Agreement is, becomes, or is declared to be invalid or void by any court or tribunal of competent jurisdiction, such terms shall be null and void and shall be deemed severed from this Agreement and all the remaining terms of this Agreement shall remain in full force and effect.
  5. Any failure by APICS to insist upon your strict performance of any term, covenant, or condition contained herein shall not be deemed a waiver of APICS’ right to insist upon the strict performance of such term, condition or covenant.

  7. Student progress and participation may be shared with APICS and/or your employer.
  8. You acknowledge and agree that, in the event of your breach or threatened breach of any of the provisions of this Agreement, APICS will not have an adequate remedy in money or damages. APICS therefore shall be entitled to obtain an injunction against such breach or threatened breach from any court of competent jurisdiction immediately upon request. APICS’ right to obtain injunctive relief shall not limit its rights to seek further remedies.
  9. This Agreement is a complete and exclusive statement of APICS’ obligations and responsibilities to you and supersedes any other proposal, representation, or other communication by or on behalf of APICS relating to the subject matter thereof.
  10. APICS disclaims any and all warranties relating to the APICS course, whether expressed or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose, and licenses this APICS course to you “as is.”
  11. This Agreement must be governed by the laws of the State of Illinois and the United States without giving effect to any choice of law principles. Each Party must submit to the exclusive jurisdiction of the courts of the State of Illinois for any dispute arising out of, or in connection, with this Agreement. Each Party must accept service of process by delivery of such process, as set forth in the Notice provision, above.
  12. In the event of any change to this Agreement, notice of such changes will be posted on the APICS website.  Any changes to this Agreement will become effective when we post the revised Agreement on the APICS website. Your use of the courseware following these changes means that you accept the revised Agreement.
